Vendor Engagement Policy and Code of Conduc Sponsor acknowledges it has read the ATLIS Vendor Engagement Policy and Event Code of Conduct, agrees to abide by both at all ATLIS events and in all ATLIS community spaces, whether in person or virtual, and acknowledges that violations may result in removal from the event, restriction from future ATLIS opportunities, or termination of this Agreement without refund.

No endorsement Sponsor acknowledges that recognition of its support does not constitute an endorsement, recommendation, or certification by ATLIS of Sponsor's products, services, or company, and Sponsor will not state or imply otherwise in any marketing, sales, or public communication. Sponsor may state that it is an "ATLIS [Level] Sponsor" or "ATLIS Partner" and may not use language such as "ATLIS-approved," "ATLIS-recommended," or "ATLIS-certified."

Data use and privacy Sponsor acknowledges that any attendee or member list provided is licensed for one-time use for the specific purpose stated, remains the property of ATLIS, may not be resold, sublicensed, appended to Sponsor's database, or retained beyond ninety (90) days, and must be used in compliance with all applicable privacy and anti-spam laws. Sponsor acknowledges that lists may be seeded for audit purposes. Upon request, Sponsor will certify in writing that the data has been deleted.

Editorial and programmatic control Sponsor acknowledges that ATLIS retains final editorial control over all content published, presented, or distributed under the ATLIS name, including sponsored and co-branded content. ATLIS may edit, decline, or withdraw content that does not meet its editorial standards. Sponsored content will be clearly and conspicuously labeled as such. Withdrawal of content for editorial reasons does not entitle Sponsor to a refund, though ATLIS will work in good faith to identify a substitute deliverable of comparable value.

Tax Treatment and No Charitable Receipt

Tax treatment. Sponsor acknowledges that ATLIS is a 501(c)(3) organization and that ATLIS, in its sole discretion, determines the characterization of each item purchased under this Agreement as a qualified sponsorship acknowledgment or as advertising or other services, and will allocate and report the fee accordingly. ATLIS makes no representation regarding the tax treatment or deductibility of any payment made hereunder, and Sponsor is advised to consult its own tax advisor.

No charitable receipt for purchased benefits. Sponsor acknowledges that payments for items under which Sponsor receives goods, services, advertising, data, exhibit space, or other substantial return benefits are made in exchange for those benefits, are not charitable contributions, and that ATLIS will not issue a charitable contribution receipt or acknowledgment for those amounts. Where ATLIS determines that all or part of a payment constitutes a contribution, ATLIS will provide written acknowledgment in the form required by applicable law.

No performance guarantee, plus a make-good Sponsor acknowledges that audience figures, attendance projections, impressions, and engagement metrics are estimates based on historical data and are not guaranteed. ATLIS makes no representation regarding leads generated, sales, or return on investment. In the event ATLIS materially fails to deliver a contracted benefit, Sponsor's sole remedy is a substitute benefit of comparable value ("make-good") at ATLIS's reasonable discretion.

Intellectual property warranty and indemnity Sponsor represents and warrants that it owns or has license to all materials provided to ATLIS, that such materials do not infringe any third-party right, and that Sponsor will indemnify and hold ATLIS harmless against any claim arising from ATLIS's use of Sponsor-provided materials as directed.
